By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. Archiom reserves the right to disable any user account at any time if we reasonably believe you have violated these Terms.
The Service and its original content, features, and functionality are owned by Archiom and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of our software.
You retain all rights to the data you submit to the Service. By using the Service, you grant Archiom a non-exclusive, worldwide, royalty-free license to use, process, and store your data solely for the purpose of providing and improving the Service. Archiom will not share your data with third parties except as described in our Privacy Policy or as required by law.
Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.
You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include but are not limited to: attempting to interfere with the Service's security or functionality, using automated means to access the Service without permission, impersonating another person or entity, and transmitting any malicious code or content.
To the maximum extent permitted by applicable law, Archiom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service. In no event shall Archiom's total liability exceed the amounts paid by you to Archiom in the twelve (12) months preceding the claim.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. We are committed to protecting your privacy and complying with applicable data protection regulations including GDPR and CCPA.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the change becoming effective. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Archiom does not warrant that the Service will be uninterrupted, secure, or error-free.
You agree to indemnify, defend, and hold harmless Archiom and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service or violation of these Terms. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Archiom reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Service. This includes but is not limited to data protection laws, export control laws, and any laws governing the collection and use of personal information.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the state where Archiom's principal office is located. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
These Terms constitute the entire agreement between you and Archiom regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral. These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
Either party may terminate these Terms at any time by providing written notice to the other party. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
